All businesses have the need for working capital for day-to-day operations as well as general expansion and growth and acquisitions to provide additional growth and opportunities. That capital can be obtained by borrowing funds from banks or other financial institutions and non- traditional lenders. If capital cannot be obtained, or is not desired for any number of reasons, by borrowing, businesses must look for private equity infusions for capital. We have extensive experience in the private placement of equity process for many years in varied lines of businesses. That process includes negotiation of a proposed term sheet, structuring the terms of the particular security to be issued, drafting the appropriate offering documentation with comprehensive subscription agreements. We structure the transaction to be complaint with applicable state and federal exemptions from the registration of the securities to be offered.

The private placement process can be undertaken by a business as the issuer or through a registered placement agent. If a placement agent is utilized, we negotiate and draft the terms of the placement agreement to govern the transaction and define the rights and responsibilities of the parties involved, as well as costs and compensation.

We work closely with a business’s internal accounting staff or outside accountants to present any necessary projections and assumptions relating to the business for disclosure to potential investors.

We also work with business owners to critique and expand their respective business plan.
