Our attorneys can counsel and assist the client in the selection and formation of all types of legal entities, including corporations, limited liability companies, and partnerships (both general and limited). Such assistance includes:
- Searching on-line corporate records to ascertain the availability of the proposed name for the entity;
- Eliciting information from the client regarding the information called for in Articles of Incorporation (for a corporation) and in Articles of Organization (for a limited liability company), and discussing same with the client, including identifying alternatives available for various provisions;
- Preparing and filing with the appropriate jurisdiction Articles of Incorporation and Articles of Organization;
- Determining whether an entity needs to register in a foreign jurisdiction (i.e., other states), and assisting in the registration of the entity in such foreign jurisdiction(s);
- Preparing and filing a Registration of Fictitious Name, if necessary;
- Providing assistance with obtaining a federal employer identification number for the entity;
- Directing the client to sources of information and guidance with respect to the preparation and filing of a Beneficial Ownership Information report, as required by the Corporate Transparency Act;
- Preparing initial minutes, bylaws, and stock certificates for a new corporation;
- Eliciting information from the client, discussing various options and alternatives, and drafting Shareholders Agreements (among the shareholders of a corporation), Operating Agreements (among the members of a limited liability company), and Partnership Agreements (among the partners of a general or limited partnership), and walking through the agreement with the client to answer any questions the client may have.
